| 2. |
Registered Office:
The registered office of the society shall be situated in the national
capital territory of Delhi. At present it is located at D-1008 New
Friends Colony, New Delhi 110065. |
| |

| 3. |
Aims and Objectives:
The aims and objectives for which the Forum is established are
as under:- |
| |
a) |
Promotion of peace between
India and Pakistan through people to people initiatives; |
| |
b) |
Promotion of democracy and
secularism; |
| |
|
| 4. |
In furtherance of which objectives the Forum shall: |
| |
a) |
Arrange and participate in
joint Peoples Conventions; |
| |
b) |
Set up Joint Committees for
programmes agreed upon; |
| |
c) |
Promote exchange programmes
between the people; |
| |
d) |
Create public
awareness of the objectives of the Forum through print and electronic
media and other forms of communications; |
| |
e) |
Promote joint cultural and
sporting events. |
| |
f) |
Organise seminars,
camps, field studies and other projects that may enable people in
the two countries to learn about each other and foster feelings
of friendship; |
| |
g) |
Promote study and research
into factors which strengthen democratic rights; |
| |
h) |
Organise programmes,
seminars and other avenues for collaboration between the two countries
in the fields of trade, economic and international affairs; |
| |
i) |
Generate resources for carrying
out the objectives of the Forum, including acquisition of movable
and immovable property; |
| |
j) |
Collaborate with
other organisations of Indians and Pakistanis working towards strengthening
democracy in Pakistan and India and for peace between the two countries; |
| |
k) |
Acquire by gift,
purchase, exchange, lease or hire or otherwise acquire howsoever
any lands, buildings any other property movable and/or immovable
and any estate or interest for the furtherance of the objectives
of the Forum; |
| |
l) |
To sell, manage,
transfer, exchange, mortgage, lease, dispose of or otherwise deal
with any property belonging to and for the best interest of the
Forum; |
| |
m) |
To draw, make,
accept, endorse and discount cheques, notes, or other negotiable
instruments for the purpose of the Forum; |
| |
n) |
To invest the
funds of the Forum not immediately required,
in accordance with the Income Tax Act 1961; |
| |
o) |
To raise funds
as and when necessary by means of loans from banks, government or
any other approved agency for the objectives of the Forum; |
| |
p) |
To do all such
other lawful acts, deeds, or things as are incidental or conducive
to the attainment of any of the above objects; |
| |
q) |
To undertake such
other activities from time to time as shall be deemed necessary
for the attainment of the objectives of the Forum; |
| |
r) |
To make rules
and regulations for the conduct of the affairs of the Forum and
to add, amend, vary or rescind them from time to time. |

| |
Income and property of
the Forum howsoever derived shall be applied towards the promotion
of the objectives as set forth in the memorandum. No part of the
income shall be paid or transferred directly or indirectly by
way of dividends, bonus or otherwise. Howsoever by way of profit
to the persons who at any time are or have been members of the
Forum or to any of them or to any person claiming through them
or any of them, provided that nothing herein contained shall prevent
the payment in good faith or remuneration of any members thereof
or any person in return for any service rendered to the Forum
or for travelling allowance claiming or other similar charges. |

| 5. |
Governing Body: |
| |
The names, addresses, occupations
and designation of the present members of the governing body to
whom the management of the Forum is entrusted as required under
section 2 of the Societies Registration Act 1860, as applicable
to the national capital territory of Delhi are as follows:- |

Rules & Regulations |
| |
|
| 1. |
Name |
| |
The name of the Forum shall be Pakistan-India
Peoples Forum for Peace and Democracy. |
| |
|
| 2. |
Headquarters |
| |
The headquarters of the Forum
shall be located at Delhi or any other place within the Indian Union
as may be decided from time to time by the national conference or
Forum. |
| |
|
| 3. |
Financial Year |
| |
The financial year of the Forum
shall be from 1st April to 31st March. The National Committee may,
however change the financial year as and when such exigencies arise. |

|
| 4. |
Composition |
| |
The Forum shall comprise
of persons or association of persons who are citizens of India to
be chosen as provided hereafter. |
| |
|
| 5. |
Membership |
| |
a) |
All those present at the
National Conference of the Forum held at Calcutta on 1st January
1997, where the constitution was adopted, shall be deemed to be
founder members. |
| |
b) |
Any person who subscribes
to the objectives of the Forum shall, upon applying in the prescribed
manner and paying the prescribed fee, become its member provided
that the National Committee/State Committee ratifies such membership
after such is proposed by one existing member and seconded by another.
The founder members shall be exempt from this requirement. |

c) |
There shall be two categories of membership,
namely; |
| |
i) |
Individual Membership, and |
| |
ii) |
Organisational membership;
provided that an organisational member shall nominate one individual
from itself as its representative in the Forum and provided further
that it is the organsiation that shall require to be proposed and
seconded for membership as aforesaid and not its nominated representtive. |

d) |
Termination of membership: |
| |
|
A person shall cease to be
a member of the Forum in any one of the following situations; |
| |
i) |
Upon resignation tendered in writing; |
| |
ii) |
Upon failure to renew the membership
in the prescribed manner. |
| |
iii) |
Upon expulsion - by a resolution
of the General Body of the Forum passed by two third of the members
present and voting on the ground that such person is not fit to
be a member. Provided that such person shall have at least two months
notice of the proposed resolution and an opportunity to address
the General Body against the same. |

iv) |
During the period of suspension
when a motion for the same has been passed by the General Body in
the manner specified above for expulsion. |

| 6) |
The General Body/National Conference
hereinafter referred as National Conference. |
| |
a) |
All the members of the Forum at any given
time shall constitute its National Conference at such time. |
| |
b) |
The National Conference shall meet once
every year at the time and place fixed and notified by the National
Committee and due care shall be taken to ensure that each member
has at least one months notice of such meeting. |

| 7) |
The National Conference shall on the
occasion of its annual meeting: |
| |
a) |
Scrutinise and pass the duly audited statement of
accounts. |
| |
b) |
Appoint a chartered accountant to audit the Forums
account. |
| |
c) |
Elect the National Committee once every two years. |
| |
d) |
Release the annual report of the Forum - in addition
to any other matter on the agenda. |
| |
e) |
Any other business with the permission
of the chair. |
| |

| 8) |
Extraordinary National Conference
Meeting |
| |
The National Committee may call an Extraordinary
National Conference meeting after taking care to ensure that
each member has at least one weeks
notice of the same. An Extraordinary National Conference meeting
may also be requisitoned by 50 or more members. |

| 9) |
Quorum |
| |
The quorum for both the annual
National Conference meeting and the Extraordinary National Conference
meeting shall be 1/3rd of the membership or 100 persons whichever
is less. |
| |
|
| 10) |
Voting |
| |
a) |
At the meetings, each member, whether
individual or organisational shall have one vote. |
| |
b) |
In case of any equality of votes the
chairperson shall have a casting vote. |
| |
|
| 11) |
The National Committee |
| |
a) |
Every two years the general body shall
elect from its members twenty one persons who shall comprise the
National Committee of the Forum. |
| |
b) |
The term of such a National Committee
shall automatically extend till the date of election following the
one by which it was elected. |
| |
c) |
Of the said twenty one persons two shall
be chairperson and secretary respectively and the entire National
Committee shall reflect as far as possible, gender and regional
balance. |
| |
d) |
The National Committee may co-opt upto
six members to effect a proper gender and regional balance where
necessary and to fill up vacancies that may arise for any reason. |
| |
e) |
The National Committee shall be responsible
for general administration, charting of programmes consonant with
the Forums objectives and financial management. It may appoint
sub committees for any of the said purposes. The duly audited statement
of accounts shall be preapared by it. The National Committee and
the State Committees for their respective purpose shall be authorised
to open and operate bank accounts, launch membership drives and
do anything else as ratified from time to time by the General Body. |

f) |
Mode of election shall be raising of
hands or secret ballot at the AGM. |
| |
g) |
The National Committee shall meet at
least twice a year. |
| |
h) |
Quorum: |
| |
|
At any meeting one-third of the National
Committee shall constitute a quorum for the transaction of business. |
| |
i) |
Once a year a list of office bearers
and members of the National Committee of the Forum shall be filed
with the Registrar of the Societies, Delhi as required under section
4 of the Societies Registration Act 1860 as applicable to the national
capital territory of Delhi. |

| 12) |
State Committees |
| |
a) |
Each state of India shall
have a State Committee of the Forum resident in that state |
| |
b) |
The executive of the State
Committee shall be elected for a two year term as far as may be
in the manner specified for the National Committee and such executive
shall be responsible for administering the affairs of the Forum
within the state. Two or more states may jointly elect one executive
if it is expedient for them to do so. |

c) |
The State Committee shall
function autonomously within their territory but in consonance with
the programmes and activities framed by the National Committee. |

| 13) |
Rules |
| |
The National
Committee may formulate rules of working to be ratified by the General
Body to facilitate the purposes of the Forum. These rules may, inter
alia, provide for the raising and apportioning of funds. The state
executive may in its territory do the same in a manner consistent
with the rules formulated by the National Committee. |
| |

| 14) |
Duties of office-bearers |
| |
a) |
Chairperson |
| |
i) |
The chairperson shall preside
over all the meetings and would be overall incharge. |
| |
ii) |
In the absence of the chairperson
in any meeting, members present would elect a chairperson for the
meeting amongst themselves. |
| |
b) |
Duties of the secretary or its equivalent: |
| |
i) |
To keep record of the proceedings
of the meetings of the General Body and of the National Committee. |
| |
ii) |
To carry on correspondence
on behalf of the Forum and to have custody of the records and files. |
| |
iii) |
To carry on the day-to-day
routine work of the office and have control over the office and
its staff. |
| |
iv) |
To maintain regular accounts,
prepare quarterly and annual statement of accounts and submit them
to the National Committee and General Body. |
| |
v) |
To prepare the annual report
and submit it to the General Body. |
| |
vi) |
To publish bulletins, magazines
and other literature to achieve the objectives of the Forum as directed
by the National Committee. |
| |
vii) |
Whenever approved, to tour
and submit a report of the tour to the National Committee. |
| |
viii) |
To receive and disburse amounts
and to incur expenditure as per budget estimates approved by the
National Committee. |
| |
ix) |
To be in charge of the library. |
| |
x) |
To execute various programmes
and activities as decided by the National Committee. |
| |
xi) |
All or any of the powers
and functions of the secretary may be delegated to any officer of
the Forum with the approval of the National Committee. |
| |
|
| 15) |
The Forum shall raise
it funds: |
| |
a) |
By membership fee. |
| |
b) |
By grants, contributions and donations
from members. |
| |
c) |
By sale of publications. |
| |
d) |
By grants, donations and
contributions from non-members, government and local bodies, both
national and international. |
| |
e) |
By brochures, souveniers etc. |

| 16) |
Accounts and Audit |
| |
a) |
Proper accounts and other
relevant records shall be maintained, an annual statement of accounts
shall be prepared in such form as may be prescribed by the National
Committee. |
| |
b) |
The accounts shall be audited
annually by a firm of chartered accountants to be appointed by the
General Body. Any expenditure incurred in connection with the audit
of account shall be payable by the Forum. |
| |
c) |
The audited statement of
accounts together with the audit report will be placed before the
National Committee for consideration and approval; thereafter the
same shall be put up before the General Body. |
| |

| 17) |
Legal Proceedings |
| |
Forum may sue
or be sued in the name of the secretary. |
| |
|
| 18) |
Indemnity |
| |
Every office
bearer or employee of the Forum shall be indemnified
out of the funds of the Forum against all losses and
expenses incurred in the discharge of his/her duties except such
as shall happen through his/her own neglect, wilful act or default. |

|
| 19) |
Amendment |
| |
Any amendment
in the constitution will be carried out in accordance with the procedure
laid down under section 12A of the Societies Registration Act 1860
as applicable to the national capital territory of Delhi. |

|
| 20) |
Dissolution |
| |
a) |
In case of dissolution, the
Forum shall be dissolved as per provisions laid down under section
13 & 14 of the Societies Registration Act 1860 as applicable
to the national capital territory of Delhi. |
| |
b) |
On dissolution, if any property
remains after satisfying all debts and liabilities, it shall not
be divided among the members of the General Body or the National
Committee but shall be transferred to some other society/forum having
similar objectives. |

| 21) |
Application of the Act |
| |
All the provisions under
all the sections of the Societies Registration Act 1860 (Punjab
Amendment Act 1957) as applicable to the national capital territory
will apply to this Forum. |

Certificate |
| |
|
| |
Certified that it is the
correct copy of the rules and regulations of the society. |
